Capture Agent Terms

If you acquired Services from DroneDeploy subject to these Capture Agent Terms (“Terms”), as stated in the Order Form, then these Terms apply to your use of the Services. These Terms are a supplement to any other active, duly executed contract that you have with DroneDeploy, and any definitions used in such agreement apply to these Terms.
We may modify this Agreement to, for example, reflect changes to the law or changes to our Services. Such modifications will take effect on the stated update date unless you have a then-active Order Form disclaiming the applicability of updates, in which case such changes will take effect for any extensions or renewal terms. We will post notice of modifications to this Agreement on this page. If you do not agree to the modified Agreement, you should discontinue your use of the Services.
- Hardware Ownership; Risk of Loss. All robots, sensors, charging equipment, mesh radios, satellite antennas, and other physical hardware deployed at Customer's site under this Order Form (collectively, "Equipment") are and shall remain the sole property of DroneDeploy. Customer acquires no title, lien, or security interest in the Equipment. Risk of loss for the Equipment remains with DroneDeploy except for loss or damage caused by Customer's, its personnel's, or its contractors' negligence, willful misconduct, or breach of Schedule A hereto, in which case Customer shall reimburse DroneDeploy for the repair or replacement cost at DroneDeploy's then-current replacement value.
- Customer Site Obligations. Customer's compliance with the operating requirements set forth in Schedule A hereto is a condition precedent to DroneDeploy's performance. DroneDeploy is not obligated to deploy, operate, or maintain the Capture Agent Service at any site that does not meet the requirements of Schedule A hereto, and any inability to perform resulting from Customer's non-compliance shall not constitute a breach by DroneDeploy or entitle Customer to any refund, credit, or remedy.
- Site Safety; Customer Operational Responsibility. Customer is solely responsible for site safety, including (a) inclusion of Capture Agent Service operations in Customer's site health and safety plan and pre-task plans; (b) provision of all site-specific safety briefings, PPE, and access control; (c) notice to and consent from all workers, subcontractors, and visitors regarding the presence and operation of Robots and the capture of 360-degree panoramic imagery and video, in compliance with all applicable workplace surveillance, privacy, and labor laws (including, where applicable, the NSW Workplace Surveillance Act 2005, the Illinois Biometric Information Privacy Act, and analogous laws in the operating jurisdiction); and (d) immediate notice to DroneDeploy of any incident, injury, near-miss, or property damage involving the Capture Agent Service. Customer shall not operate, move, modify, charge, or interfere with the Equipment except as expressly directed in writing by DroneDeploy.
- Stop-Ship; Suspension. DroneDeploy may suspend the Capture Agent Service at any time, in whole or in part, in DroneDeploy's reasonable discretion, including for safety, regulatory, supply, vendor compliance, security, or fleet-wide reliability reasons. DroneDeploy will give Customer prompt notice of any such suspension. Suspension under this Section 4 is not a breach by DroneDeploy.
- Confidentiality. Customer acknowledges that the operating model of the Capture Agent Service, including the role of remote human operators, robot platform selection, software architecture, and DroneDeploy's internal tooling and roadmap, constitute DroneDeploy's Confidential Information. Customer shall not disclose such information without DroneDeploy's prior written consent.
- Insurance. Each party shall maintain commercially reasonable insurance appropriate to its obligations under this Order Form. DroneDeploy shall maintain, at minimum, the coverage limits set forth in DroneDeploy's then-current Certificate of Insurance, available on request. Customer shall maintain commercial general liability, workers' compensation, and employer's liability insurance at limits no less than those required by Customer's site safety program or as required by applicable law, whichever is greater.
Schedule A — Capture Agent Operating Requirements
Customer's compliance with the following is a condition of DroneDeploy's performance throughout the Subscription Period. Failure to meet any requirement may, at DroneDeploy's discretion, suspend service obligations, extend the timeline, or trigger Section 4 (Stop-Ship; Suspension).
- Site Contacts. Customer shall designate a primary point of contact and at least one backup, available during Operating Hours, reachable by mobile phone, and authorized to make site-access and operational decisions.
- On-Site Escalation Resource. Customer shall provide an on-site resource, available during Operating Hours, capable of physically attending to the Robot within a reasonable time to assist with blocked, stuck, knocked-over, or unpowered Robots and any safety event.
- Docking and Charging Area. Customer shall provide and maintain a dedicated, clear, dry, and continuously powered docking location, protected from interference by site personnel or contractors. DroneDeploy shall not be responsible for any delay or interruption in service caused by loss or degradation of the site’s power supply. Customer shall give DroneDeploy reasonable advance notice of any change in power availability or location.
- Operating Environment. Customer shall ensure operating areas are adequately lit, within the Robot's published environmental and clearance specifications, and free of conditions identified as outside the Robot's operating envelope in the applicable Capture Agent Deployment Playbook. Customer will promptly notify DroneDeploy of any unlit or low-light locations.
- Operating Hours. The Robot shall operate only during hours mutually agreed in writing (the "Operating Hours"), set by default outside of active worker hours unless otherwise agreed. DroneDeploy will not conduct remote operations outside Operating Hours without prior written confirmation from Customer's primary contact.
- Network and Connectivity. Customer shall permit DroneDeploy to install and operate required network equipment (including satellite internet, mesh radios, and antennas) at agreed locations with power, and shall coordinate timely IT and cybersecurity approvals.
- Site Health & Safety Integration. Customer shall include Capture Agent Service operations in its site health and safety plan, daily pre-task plans, and contractor and visitor briefings, and shall provide notice to site security personnel that the Robot is not performing security or surveillance functions.
- Worker Notice and Consent. Customer shall provide all workers, subcontractors, and visitors with notice that 360-degree panoramic imagery and video will be captured at the site, and shall obtain any consents required under applicable workplace surveillance, privacy, biometric, and labor laws in the operating jurisdiction. Customer shall provide DroneDeploy with copies of such notices and evidence of consents on request.
- Site Suitability. Customer acknowledges that the sites covered by this Order Form were selected jointly by the parties based on representations regarding building size, levels, materials, environmental conditions, and operational schedule. Any material change to site conditions or scope shall be promptly disclosed to DroneDeploy and may, at DroneDeploy's discretion, require renegotiation of the deployment plan or pricing.
- Equipment Care. Customer shall (i) not move, modify, charge, repair, or interfere with the Equipment except as directed in writing by DroneDeploy; (ii) take commercially reasonable measures to protect Equipment from theft, vandalism, and incidental damage; and (iii) promptly notify DroneDeploy of any loss, damage, or relocation of Equipment.
